Conditions

General terms and conditions of sale of the UvA webshop of the University of Amsterdam, located in Amsterdam. Version valid from 01-11-2019.

Article 1. General

1.1 In these general terms and conditions of sale, 'UvA Webshop' means: UvA Webshop of the University of Amsterdam.

1.2 These general terms and conditions of sale form part of all offers from and agreements with the UvA Webshop insofar as they have not been expressly deviated from in writing.

1.3 These terms and conditions also apply to agreements with the UvA Webshop, for the implementation of which third parties must be involved by the UvA Webshop.

1.4 The applicability of any terms and conditions of the customer is explicitly rejected.

1.5 In the event that the general terms and conditions of sale and an Agreement contain conflicting clauses, the Agreement will prevail.

1.6 If any part of these terms and conditions is null and void or is nullified, the other provisions of the general terms and conditions of sale will remain in full force and the parties will be bound to make every effort to determine a replacement clause in mutual consultation, whereby as many as possibly the purpose and scope of the original provision (s) are observed.

Article 2. Offers and formation of agreements

2.1 All offers are without obligation, unless explicitly stated otherwise by the UvA Webshop.

2.2 An agreement (for delivery and purchase) is concluded by placing an order via the UvA Webshop website and after acceptance of the order by the UvA Webshop. Orders via the website of the UvA Webshop are automatically confirmed by e-mail.

2.3 The UvA Webshop is entitled to refuse orders or to attach certain conditions to the delivery. If an order is not accepted, the UvA Webshop will inform the customer of this within 10 working days of receipt of the order.

2.4 By placing an order, the customer is deemed to fully accept these general terms and conditions of sale.

2.5 Offers from the UvA Webshop do not automatically apply to repeat orders. 

2.6 The UvA Webshop cannot be held to its offer if the customer should have understood that the offer, or any part thereof, contained an obvious mistake or clerical error.

2.7 Additions, changes and / or further agreements are only valid if agreed in writing between the parties.

2.8 The UvA Webshop gives a maximum of one discount on one product if more than one current discount promotion applies to a particular article / product.

Article 3. Prices / Price increase

3.1 Unless indicated otherwise, all prices are expressed in Euros, including sales tax (VAT) and excluding shipping costs.

3.2 All offers on the UvA Webshop website are subject to price, performance, availability and delivery time.

3.3 The UvA Webshop guarantees that price increases will not take place after the conclusion of an agreement, unless this price increase is the result of statutory regulations and / or provisions.

3.4 If the price increase is not the result of statutory regulations and / or provisions, the customer has the right to cancel the agreement on the day on which the price increase takes effect.

Article 4. Delivery

4.1 If items are available from stock, they will be shipped as soon as possible (and with due observance of the provisions of Article 5 of these terms and conditions) after the order. The UvA Webshop will charge shipping costs for shipping ordered items. The goods ordered will be delivered to the postal address known to the UvA Webshop, which is not of a temporary nature, and the goods ordered will be handed over to the natural person at the delivery address.

4.2 The UvA Webshop reserves the right to have the customer sign for receipt of the order.

4.3 The UvA Webshop's obligation to deliver will be fulfilled, subject to proof to the contrary, as soon as the goods delivered by the UvA Webshop have been offered to the customer. For home delivery, the report of the carrier, alleging refusal of acceptance, extends to full proof of the offer to deliver, subject to proof to the contrary.

4.4 In the event of refusal of the goods offered, the return freight and storage costs, as well as the risk of damage or loss of the refused goods, will be entirely at the expense of the customer, unless the customer has the right to cancel the purchase or replace the good on good grounds. invokes.

4.5 The delivery times stated by the UvA Webshop are indicative. Exceeding any delivery period does not entitle the customer to compensation.

4.6 Deliveries are only possible to an address in the Netherlands. International orders for delivery abroad are not possible and will be canceled.

Article 5. Delivery time

5.1 A delivery time stated by the UvA Webshop can never be regarded as a deadline. The delivery time will not commence until all necessary information is in the possession of the UvA Webshop, after which the UvA Webshop will attempt to arrange for delivery within 30 days at the latest.

5.2 Within the framework of the rules of distance selling, the UvA Webshop will execute orders with due speed, but at least within 30 days. If this is not possible (because the ordered is not in stock or no longer available), or there is a delay for another reason, or an order cannot be executed or only partially, then the customer will receive within 1 month after placement of the order and in that case he has the right to cancel the order without costs and notice of default.

Article 6. Dissolution

6.1 The UvA Webshop is entitled to suspend compliance with its obligations or to dissolve the agreement if the customer does not, not fully or not timely fulfill its obligations under the agreement.

6.2. The UvA Webshop is also authorized to dissolve the agreement if circumstances arise of such a nature that the unaltered maintenance of the agreement cannot reasonably be required of the UvA Webshop.

6.3 In the case of goods delivered on the basis of an order at the UvA Webshop, the customer has the right, in the event of a consumer purchase, in accordance with Article 7: 5 of the Dutch Civil Code, to dissolve the agreement within a period of 14 working days without giving any reason, unless explicitly agreed otherwise. This period starts when the ordered items have been delivered. If the customer has not returned the delivered goods to the UvA Webshop after this term, the purchase is a fact. Before proceeding with the return, the customer is obliged to report this to the UvA Webshop within 14 working days after delivery. The customer must prove that the delivered goods have been returned on time (no later than 14 working days after delivery), for example by means of proof of postal delivery. The return of the delivered goods is entirely at the expense and risk of the customer. The goods must be returned in the original packaging (including accessories and accompanying documentation) and in new condition. If the goods have been used, encumbered or damaged in any way by the customer, the right to dissolution within the meaning of this paragraph will lapse. With due observance of the provisions of the previous sentence, the UvA Webshop will confirm the dissolution of the purchase immediately after receipt and checking of the items returned and will ensure that the full purchase amount is paid to the customer within 30 days of receipt of the complete return shipment. the customer is reimbursed free of charge.

6.4 The right to dissolution, as described in the previous paragraph, only relates to the goods delivered.

Article 7. Force majeure

7.1 The UvA Webshop is not obliged to fulfill any obligation towards the customer if he is prevented from doing so as a result of a circumstance that is not attributable to fault, and neither by law, a legal act or generally accepted views for his bill comes.

7.2 In these general terms and conditions of sale, force majeure is understood to mean, in addition to what is understood in this respect in law and jurisprudence, all external causes, foreseen or unforeseen, on which the UvA Webshop cannot influence, but which prevent the UvA Webshop from being able to to fulfill its obligations.

Article 8. Conformity, warranty and right of complaint

8.1 The UvA Webshop guarantees that the goods delivered comply with the agreement, the specifications stated in the offer, the reasonable requirements of reliability and / or usability and the legal provisions existing on the date of the conclusion of the agreement and / or government regulations.

8.2 The UvA Webshop does not offer a more extensive warranty on delivered goods than the warranty (conditions) of the manufacturer of these goods, without however affecting the rights of the customer arising from mandatory legal provisions.

8.3 The customer is obliged to check upon delivery whether the goods delivered comply with the agreement. If this is not the case, the customer must notify the UvA Webshop of this in writing and with reasons as soon as possible and in any case within seven working days after delivery, or at least after observation was reasonably possible.

If it has been demonstrated that the items delivered do not comply with the agreement, the UvA Webshop has the choice to replace the items in question with new items or to refund the invoice value thereof against return.

8.4 Return shipments are only accepted by the UvA Webshop if the items are undamaged. The costs for these return shipments are at the expense of the customer, unless otherwise agreed.

Article 9. Payment

9.1 Unless otherwise agreed, payment of the amounts due to the UvA Webshop will be made by credit card or i-deal.

Article 10. Retention of title

10.1 All goods delivered by the UvA Webshop to the customer under the agreement remain the property of the UvA Webshop until all amounts owed by the customer for the goods delivered under that agreement have been paid. 

Article 11. Intellectual property rights

11.1 Unless explicitly agreed otherwise in writing, the full copyrights and all other intellectual and industrial property rights with regard to the items delivered by the UvA Webshop rest exclusively with the UvA Webshop and / or its suppliers.

Article 12. Applicable law

12.1 All offers and agreements of the UvA Webshop are exclusively governed by Dutch law.

Article 13. Complaints

13.1 Complaints about the performance of the agreement must be submitted fully and clearly described to the UvA Webshop within a reasonable time after the customer has discovered the defects.

13.2 Complaints submitted to the UvA Webshop will be answered within 14 days from the date of receipt. If a complaint requires a foreseeable longer processing time, the UvA Webshop will reply within 14 days with a confirmation of receipt and an indication when the customer can expect a more detailed answer.
